All content on the Site, including software, AI models, algorithms, methodologies, text, images, logos, and other materials (collectively, "Content"), is owned by or licensed to Sookti AI and is protected by intellectual property laws of India and international treaties. You may not reproduce, distribute, modify, create derivative works, publicly display, or otherwise use any Content without our prior written permission.
Your Data: You retain all rights to the SAP code, configurations, and other data you provide to us for processing. We do not claim ownership over your proprietary code or business data. Our use of your data is limited to providing the Services and is subject to confidentiality obligations.
When using Sookti AI's software products, tools, or platforms, you may be granted a limited, non-exclusive, non-transferable, revocable license to use the software solely for your internal business purposes. This license is subject to the terms specified in a separate software license agreement or the applicable Statement of Work. All rights not expressly granted in this license are reserved by Sookti AI.
During your interaction with Sookti AI, you may receive confidential or proprietary information, including technical specifications, pricing, methodologies, and business strategies. You agree to maintain the confidentiality of such information and not disclose it to any third parties without Sookti AI's prior written consent. This obligation survives the termination of these Terms. Similarly, we will treat your confidential information, including your SAP code and system data, with the same degree of care.
Our Services utilize artificial intelligence to analyze code, generate recommendations, and produce documentation. While we strive for accuracy, AI-generated outputs are provided for informational purposes and should be reviewed by qualified professionals before implementation in production environments. Sookti AI does not guarantee that AI-generated code or recommendations will be error-free, and you acknowledge that human oversight and testing are essential components of any implementation.
Payment terms for our Services are specified in the applicable Statement of Work or commercial agreement. Unless otherwise agreed in writing, invoices are due within thirty (30) days of the invoice date. Late payments may be subject to interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. All fees are exclusive of applicable taxes, including Goods and Services Tax (GST) for Indian clients, Value Added Tax (VAT) for European clients, or other applicable taxes, which shall be charged additionally as per prevailing rates.
Sookti AI warrants that our Services will be performed in a professional and workmanlike manner consistent with industry standards. However, to the maximum extent permitted by applicable law:
To the maximum extent permitted by law, Sookti AI, its affiliates, directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising from your use of the Site or Services, even if we have been advised of the possibility of such damages. Sookti AI's total aggregate liability for any claims arising out of or relating to these Terms or your use of the Site or Services shall not exceed the amount you paid to Sookti AI during the twelve (12) months prior to the event giving rise to such liability.

Upon termination, all rights granted to you under these Terms will immediately cease, and you must discontinue all use of the Site and Services. These Terms and your use of the Site and Services shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Gurgaon, India. The parties agree to first attempt to resolve any dispute through good-faith negotiations for a period of thirty (30) days before initiating legal proceedings.
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall, if not resolved through negotiation, be settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, and the seat of arbitration shall be Gurgaon, India. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties.
Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, strikes, or failures of third-party telecommunications or power supply.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
These Terms, together with the Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Sookti AI regarding the subject matter hereof and supersede all prior or contemporaneous communications, understandings, and agreements, whether oral or written.
The failure of Sookti AI to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Sookti AI to be effective.
You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Sookti AI. Sookti AI may assign these Terms without restriction. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their respective successors and permitted assigns.
